Article Author Terms & Conditions

1. By selecting the tick box next to "I accept the NZS.com terms and conditions" and clicking on the Apply button on the Article Author Application form, the Article Author (Author) agrees to be bound by these contractual Article Author Terms and Conditions.
2. NZS.com Limited (NZS.com) retains the right and discretion (but not the obligation) to edit, delete, reject or remove any article the Author submits or seeks to submit.
3. The Author grants NZS.com an exclusive, royalty-free, perpetual, worldwide license to republish any material submitted to NZS.com, without limitation, in any format, following the termination of this contractual relationship for whatever reason.
4. Revenue share of 50% of the advertising revenue from the Author's articles will be payable to the Author for the duration of the time that the article is live on NZS.com and that this contract is in effect.
5. Payment of the revenue share owed to the Author will be paid on a monthly basis, completed on the 20th of the month following the revenue period wherever the amount is over NZD $50 in that month. If the revenue share is lower than NZD $50 the amount will be rolled over to the next month until the NZD $50 level is reached.
6. To be eligible to receive payment the Author must have submitted and had approved at least one article within the past three months.
7. Payment will be completed via internet banking transfer to a nominated New Zealand bank account only.
8. It is the Authors responsibility to account for any tax which may be applicable on the revenue share payments.
9. These Terms and Conditions are subject to change from time to time by NZS.com Limited without notice. It is the author's responsibility to be familiar with the Terms and Conditions on the page made available through their login.
10. The Author indemnifies NZS.com Limited for any damages occurring through publication of copyright material from a source other than the Author themselves.
11. Articles submitted may only be written by the Author themselves.
12. NZS.com reserves the right to decline the submission of an article at its sole discretion including but not limited to the low quality level of the content.
13. NZS.com reserves the right to decline the application to be an Author at its sole discretion.
14. If an Author is found to be breaking any of the Terms and Conditions in this document, at NZS.com's sole discretion, NZS.com will disable the Author's account and the Author will forfeit any revenue share owing to them on that account.
15. Articles must be uniquely written content for the NZS.com Article Author program. If content written in an article is seen to exist as duplicate content elsewhere on the Web, NZS.com will remove the article and may, at its sole discretion disable the authors account forfeiting all revenue share accrued.
16. The Author will not, and will not authorise or encourage, any third party to directly or indirectly generate impressions of or clicks on any Ad, Link or Referral Button on articles through any automated, deceptive, fraudulent or other invalid means, including but not limited to repeated manual clicks, the use of robots or other automated query tools. If this is found to have taken place, the Author's account will be terminated immediately and any outstanding revenue share will be forfeit.
17. The Author warrants that it will not submit any material:
    1. which is not original work in which the Author owns the copyright, or which in any way violates or infringes (or could reasonably be expected to violate or infringe) the copyright, registered trademark or intellectual property rights of another person;
    2. which is (or could reasonably be expected to be) obscene, offensive, pornographic, vulgar, profane, indecent or otherwise illegal;
    3. which is (or could reasonably be expected to be) defamatory of any person;
    4. which racially or religiously vilifies, incites violence or hatred, or is likely to offend, insult or humiliate others based on race, religion, ethnicity, gender, age, sexual orientation or any physical or mental disability; or
    5. which the Author knows or suspects (or ought reasonably to have known or suspected) to be false, misleading or deceptive.
18. The Author will not use articles for the purpose of:
    1. advertising, promoting or soliciting any goods or services, or otherwise engaging in trade or commerce; or
    2. providing any financial advice, or advice of any kind in relation to any financial product.
19. Indemnities
    1. The Author agrees to fully indemnify and hold NZS.com (and our related entities) harmless against any liabilities, claims, costs, loss (including consequential loss) or damage incurred as a result of any material submitted, or as a result of any breach by of these terms and conditions.
    2. Notwithstanding any indemnity provided under these Terms and Conditions, NZS.com and/or our related entities retain the right to assume the conduct of any defence to a claim brought against us, and of any proceeding or appeal issued by us, and the Author agrees to provide all reasonable cooperation (including by making available relevant documents) that we may require from the Author in relation to any such claim, proceeding or appeal.
20. Termination of this contract may occur with immediate effect for any reason whatsoever at the discretion of both parties by email to the parties registered email address.
21. These Terms and Conditions shall be construed and applied in accordance with the laws of New Zealand, and the Author consents to the exclusive jurisdiction of the New Zealand Courts to determine any matter or dispute which arises under these Terms and Conditions in accordance with the laws of New Zealand.
22. For the avoidance of doubt, the relationship between NZS.com and the Author is contractual and does not constitute an employment relationship.
